Double Negative Media Group – Sales Terms and Conditions

1. Scope

These Terms and Conditions (“Agreement”) govern the sale of hardware and provision of services by Double Negative Media Group (“DNMG”) to the client (“Owner” or “Client”).


2. Hardware Sales
  • All hardware sold by DNMG is sourced from original equipment manufacturers (“OEMs”). DNMG is not the manufacturer of any hardware sold.
  • Warranties on hardware are exclusively provided by the respective OEM. DNMG makes no representations or warranties regarding the hardware, and all warranty claims must be directed to the OEM according to their warranty terms.
  • DNMG will assist in providing documentation or proof of purchase for warranty claim purposes but assumes no liability for hardware performance or manufacturer responsiveness.

3. Services
  • DNMG offers professional services including, but not limited to:
    • Low voltage cable installations
    • Equipment installation and setup
    • Configuration of hardware and software systems
  • All services will be performed in a professional and workmanlike manner consistent with industry standards.

4. Labor Warranty
  • DNMG warrants the labor associated with its services for a period of one (1) year from the date of substantial completion.
  • Substantial completion is defined as the date on which DNMG has completed all agreed-upon work and the Owner signs off on a Completion of Work document based on the original Scope of Work.
  • This warranty covers workmanship issues, which are defined as:
    • Improper termination of cabling
    • Misconfigured or incorrectly installed equipment
    • Non-compliance with manufacturer instructions or applicable codes
  • DNMG will address valid warranty concerns within 90 days of written notification by the Owner.
  • All warranty claims must be submitted in writing via email to DNMG.
  • Warranty coverage does not apply to:
    • Changes or damage resulting from third-party work
    • Owner modifications or misuse
    • Environmental damage (e.g., flooding, electrical surges, etc.)

5. Owner Responsibilities

To ensure timely and successful completion of work, the Owner agrees to:

  • Provide unobstructed access to work areas and necessary utilities (power, internet, etc.).
  • Ensure that all work areas are safe, secure, and compliant with applicable building codes and OSHA safety standards.
  • Coordinate and communicate any construction timelines, changes, or restrictions that may affect the work.
  • Secure all required permits, consents, or approvals, unless otherwise agreed upon in writing.
  • Notify DNMG promptly of any perceived issues with work performed or hardware delivered.

6. Exclusions and Destructive Work

a. Surface Restoration

  • DNMG does not perform patching, painting, or surface restoration services. If wall, ceiling, floor, or surface penetrations are required to complete cabling or other low voltage work, DNMG will not be responsible for returning those surfaces to their prior condition.
  • Similarly, if trenching, core drilling, or any groundwork is required:
    • The Owner must provide or contract the necessary excavation or site preparation in advance.
    • DNMG will not be held responsible for any subsurface utilities or structures not properly marked or disclosed.
    • All finish work, such as drywall repair, painting, paving, or landscaping, is the sole responsibility of the Owner unless explicitly included in writing.

b. Destructive Work Approval

  • DNMG will consult with the Owner prior to performing any destructive work, such as cutting into walls, ceilings, floors, or performing trenching.
  • DNMG will provide a Destructive Work Directive outlining the scope of work and anticipated impact, which must be signed by the Owner prior to the start of such work.
  • Work will not proceed until signed documentation is received.

7. Work Site Safety
  • DNMG personnel will maintain a safe and professional work environment in accordance with:
    • OSHA Standard 1926 Subpart C – General Safety and Health Provisions
    • OSHA Standard 1926.416 – Electrical Safety
    • Any other applicable state and federal safety codes
  • The Owner is responsible for:
    • Providing a safe, hazard-free worksite environment
    • Notifying DNMG of known hazards such as asbestos, lead paint, mold, or structurally unsound areas
    • Ensuring clear access to work areas and sufficient lighting and ventilation
  • If unsafe conditions exist or develop, DNMG may suspend work until they are resolved.
  • DNMG assumes no liability for injuries, delays, or damages caused by hazardous site conditions or owner negligence.

8. Payment Terms
  • All invoices are net 10 days unless otherwise agreed upon in writing.
  • A 5-business-day grace period will apply before interest charges are assessed.
  • Past due balances will accrue interest at 1.5% per month (or the maximum allowed by law).
  • Invoices must be disputed in writing within 10 days of issuance; otherwise, they will be considered accepted.
  • Hardware and materials may require partial or full upfront payment depending on the quote or scope.

9. Limitation of Liability and Risk Waiver
  • DNMG’s total liability under this agreement shall not exceed the amount paid by the Owner for the specific service or hardware giving rise to the claim.
  • In no event shall DNMG be liable for incidental or consequential damages, including lost profits, business interruption, or third-party claims.
  • The Owner agrees to waive claims against DNMG for any post-installation issues not caused by DNMG’s negligence. This includes, but is not limited to:
    • Electrical faults due to building wiring
    • Fire, smoke, or water damage that may involve cables or devices installed by DNMG
    • Improper operation or misuse of installed systems
  • This waiver does not apply in cases of gross negligence or willful misconduct by DNMG.
  • DNMG does not assume liability for site conditions, existing systems, or third-party equipment beyond its direct scope of work.

10. Acceptance
  • By engaging DNMG for services or purchasing hardware, the Owner acknowledges and agrees to these Terms and Conditions.
  • These Terms may be supplemented by project-specific documents such as proposals, scopes of work, and signed agreements.

11. Pricing and Schedule Adjustments

a. Price Adjustments

  • All quotes are valid for 30 or 90 days depending on the term stated in the individual proposal or quote.
  • If an OEM or supplier increases pricing by more than 20% from the originally quoted cost, DNMG reserves the right to adjust the price accordingly with notice to the Owner.
  • DNMG will not raise prices arbitrarily and will notify the Owner promptly in writing of any material changes.

b. Project Schedule and Work Continuity

  • Pricing is based on work being performed in one continuous and uninterrupted phase.
  • Delays or schedule changes caused by the Owner or other trades, construction delays, or access restrictions may result in charges for:
    • Lost time
    • Remobilization
    • Labor standby costs
  • DNMG will reschedule at no additional cost in the case of weather-related delays or emergencies beyond either party’s control.
